LUMENVITAL USER AGREEMENT (TERMS OF SERVICE)
Last Updated: April 27, 2026
PLEASE READ THIS USER AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE LUMENVITAL WEBSITE, SAAS PLATFORM, AI TOOLS, OR ANY RELATED SERVICES.
This User Agreement (the “Agreement”) is a legally binding contract between you (“User,” “you,” or “your”) and Metric Views LLC, a Texas limited liability company with its principal place of business in Sulphur Springs, Texas (“Company,” “we,” “us,” or “our”), doing business as LumenVital (“LumenVital”).
By accessing or using LumenVital.com, any mobile application, AI-powered tools, SaaS features, or related services (collectively, the “Services”), you agree to be bound by this Agreement. If you do not agree, you must not access or use the Services.
1. DESCRIPTION OF SERVICES
LumenVital is an AI-orchestrated SaaS platform that provides personalized longevity, preventive health, and bio-optimization insights, plans, and recommendations based on user-provided data (including wearables, at-home lab results, and self-reported information). The Services facilitate connections to third-party licensed telehealth providers, laboratories, and fulfillment partners for prescriptions, testing, supplements, and related medical services. The Company itself does not provide medical care, diagnoses, prescriptions, or telehealth consultations—these are handled exclusively by independent licensed professionals and partner networks.
The AI components analyze data to generate informational recommendations only. All medical decisions remain solely between you and your chosen licensed healthcare provider.
2. ELIGIBILITY AND USER ACCOUNTS
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of forming a binding contract. By using the Services, you represent that you meet these requirements.
You may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.
3. USER RESPONSIBILITIES AND CONDUCT
You agree to:
Provide accurate, current, and complete information.
Use the Services only for lawful purposes and in compliance with all applicable laws.
Not attempt to reverse-engineer, copy, or misuse the AI models or underlying technology.
Not upload or transmit any content that is unlawful, harmful, or infringes third-party rights.
You acknowledge that the Services are not intended for emergency medical needs. In any medical emergency, contact your local emergency services immediately.
4. INTELLECTUAL PROPERTY
All content, AI models, software, designs, and materials in the Services are owned by or licensed to Metric Views LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial health-optimization purposes only. You may not reproduce, distribute, or create derivative works without our prior written consent.
Any feedback you provide about the Services may be used by us without compensation or attribution.
5. PRIVACY, DATA, AND HIPAA COMPLIANCE
Your privacy is important to us. Please review our separate Privacy Policy (available at LumenVital.com/privacy), which is incorporated into this Agreement by reference.
HIPAA and Protected Health Information (PHI):
We are committed to protecting your health information. Where the Services involve the collection, use, or disclosure of PHI (as defined under the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations, “HIPAA”), we act as a “Business Associate” and comply with applicable HIPAA requirements through appropriate administrative, physical, and technical safeguards.
We do not use PHI to train our AI models.
PHI is handled only as necessary to provide the Services and is shared only with your explicit consent and with our licensed telehealth, lab, and fulfillment partners (who are Covered Entities or other Business Associates under HIPAA).
We maintain a Business Associate Agreement (BAA) with our partners where required.
You consent to the sharing of your health data with these partners to receive prescriptions, lab results, supplements, or other services you request.
We will notify you of any HIPAA-related breach as required by law.
If you are a Covered Entity under HIPAA and require a separate BAA with Metric Views LLC, please contact us at legal@lumenVital.com. De-identified data may be used for analytics and service improvement in accordance with HIPAA.
You acknowledge that no internet transmission is 100% secure, and we cannot guarantee absolute security of your data.
6. NO MEDICAL ADVICE OR DOCTOR-PATIENT RELATIONSHIP
IMPORTANT DISCLAIMER: The Services, including all AI-generated recommendations, plans, insights, or content, are for informational and educational purposes only and do not constitute medical advice, diagnosis, treatment, or a substitute for professional medical care.
No doctor-patient relationship is formed between you and Metric Views LLC or its AI. Any interaction with the Services does not replace consultation with a qualified healthcare provider. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of something you have read or received through LumenVital.
We do not guarantee any specific health outcomes, longevity benefits, or results from use of the Services or any partner services.
7. PAYMENTS AND SUBSCRIPTIONS
Certain features require payment. You agree to pay all fees as described on the Services. Subscriptions automatically renew unless canceled. You authorize us (or our payment processor) to charge your payment method. All payments are non-refundable except as expressly stated in our Refund Policy (if any).
8. TERMINATION
We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of this Agreement. Upon termination, your right to use the Services ceases immediately, but certain provisions (including disclaimers, liability limitations, and governing law) survive.
9. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL CODE.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRIC VIEWS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Metric Views LLC and its affiliates from any claims, losses, or damages arising from your violation of this Agreement, your misuse of the Services, or your interactions with third-party providers.
12. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Texas without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Hopkins County, Texas. You waive any objection to venue or jurisdiction there.
13. CHANGES TO THIS AGREEMENT
We may update this Agreement from time to time. We will post the revised version with a new “Last Updated” date. Your continued use of the Services after changes constitutes acceptance of the new terms.
14. MISCELLANEOUS
This Agreement constitutes the entire understanding between you and us. If any provision is held invalid, the remainder remains in effect. Our failure to enforce any right does not waive it. You may not assign this Agreement without our consent; we may assign freely.
